Corporate officers and directors have broad discretion to act on behalf of a corporation — but certain circumstances can expose them to liability.
Claims most often brought against corporate officers for wrongdoing relate to their duties of care, loyalty and oversight and include breach of fiduciary duty, failure of oversight, usurpation of corporate opportunities and waste of corporate assets.
Our expert panelists will discuss the duties of officers and directors and provide practical takeaways for how they can fulfill their duties ethically and effectively.
